If you choose to not accept the Terms and /or changes in the Terms, you will not be permitted to utilize the services, programs, products, designs, articles, items or any material contained on this Site, also known as Intellectual Property Products ("IPP") on this Site. You are prohibited from modification of or tampering with any information contained on the RSI Site without the written permission of RSI. RSI may make changes without notice or change or update the information posted on the RSI Site at any time. RSI may improve, update or otherwise change the products and designs described on the RSI Site at any time without notice

This applies even if an authorized representative of RSI has been advised specifically of the possibility of such damages, arising from the use of or inability to use the Site or any links or items on the Site or any provision of the Terms; RSI is also not responsible for the reliability or continued availability of the telephone lines and equipment you use to access the Site. Further Restrictions on Use: YOU MAY NOT MODIFY, PERFORM, REPRODUCE, COPY, DISASSEMBLE, REVERSE ENGINEER, DECOMPILE, DISTRIBUTE, DISPLAY, PUBLISH, CREATE DERIVATIVE WORKS FROM, UPLOAD TO, TRANSMIT OR IN ANY WAY EXPLOIT ANY PART OF THE IPP OR SITE, EXCEPT THAT YOU MAY DOWNLOAD MATERIAL FROM THE SITE AND/OR MAKE PRINT COPIES SOLELY FOR USE WITHIN YOUR ORGANIZATION, PROVIDED THAT ALL COPIES RETAIN ALL COPYRIGHT AND OTHER PROPRIETARY NOTICES; THE ANALYSIS AND PRESENTATION INCLUDED IN THE IPP MAY NOT BE RE-CIRCULATED, REDISTRIBUTED OR PUBLISHED BY YOU WITHOUT RSI'S PRIOR WRITTEN CONSENT. YOU MAY NOT USE THE IPP OR THE INFORMATION CONTAINED ON THE SITE TO CONSTRUCT A DATABASE OF ANY KIND, NOR MAY THE ITEMS ON THE SITE BE STORED (IN THEIR/ITS ENTIRETY OR IN ANY PART) IN DATABASES FOR ACCESS BY YOU OR ANY THIRD PARTY OR TO DISTRIBUTE ANY DATABASE SERVICES CONTAINING ALL OR PART OF THE SITE. IF YOU MODIFY THE CONTENT OF THE SITE OR IPP, IT WOULD BE A VIOLATION OF RSI'S COPYRIGHT AND OTHER PROPRIETARY RIGHTS. ADDITIONALLY, YOU AGREE TO NOT OFFER ANY PART OF THE IPP FOR SALE OR DISTRIBUTE IT OVER ANY OTHER MEDIUM INCLUDING BUT NOT LIMITED TO OVER-THE-AIR TELEVISION OR RADIO BROADCAST, A COMPUTER NETWORK OR HYPERLINK FRAMING ON THE INTERNET WITHOUT THE PRIOR WRITTEN CONSENT OF RSI. YOU AGREE TO NOT USE THE INFORMATION OR TRANSFER OR DISTRIBUTE THE INFORMATION CONTAINED IN THIS SITE IN ANY MANNER THAT WOULD COMPETE WITH RSI'S BUSINESS. YOU AGREE TO NOT USE THIS SITE FOR ANY ILLEGAL, IMMORAL, OR IN ANY WAY INCONSISTENT WITH THE TERMS OF THIS RSI SITE. FURTHERMORE, YOU MAY NOT USE ANY OF RSI'S NAMES OR MARKS IN ANY MANNER THAT CREATES THE IMPRESSION SUCH NAMES OR MARKS ARE ASSOCIATED WITH YOU OR IMPLY ANY ENDORSEMENT BY RSI, AND YOU ACKNOWLEDGE THAT YOU HAVE NO OWNERSHIP RIGHTS IN AND TO ANY OF THESE NAMES OR MARKS. YOU WILL NOT USE THE SITE, THE INFORMATION CONTAINED THEREIN OR ANY OF RSI'S NAMES OR MARKS IN UNSOLICITED MAILINGS OR SPAM MATERIAL AND WILL NOT SPAM OR SEND UNSOLICITED MAILINGS TO ANY PERSON OR ENTITY USING THE SITE OR THE IPP.

8. Linking and Framing: You agree through your reading and use of this Site that you will be granted a non-exclusive, non-transferable, royalty-free license to use the "RSI" name solely for providing an underlined, textual link from your Website to DealwithRisk.com, and for no other use; that you may include a link(s) on your Website only to the DealwithRisk.com home page, currently located at http://www.DealwithRisk.com ("Home Page") provided that you first send to RSI via email to JEGross@DealwithRisk.com; (1) your name or the name of the technical contact responsible for the link(s); (b) the name of your company; (c) the email address and telephone number for you or the technical contact responsible for the link(s); and (d) the Website address(es) where the link(s) to the Home Page will appear; (2) Without specific, written consent by RSI, you specifically may not link to an internal or subsidiary page of this Site that is located one or several levels down from the Home Page ("deep link"), or bring up or present content of this Site within another Website ("frame"). You agree to acknowledge the author of any material or information reproduced by you or anyone with whom you have an affiliation.

9. Intellectual Property: You agree that you do not acquire any rights or licenses in or to the IPP or other materials on this Site, nor do you acquire any rights or licenses to the materials contained in the Site other than the limited right to use the Site pursuant to the Terms in this agreement. You agree that the contents of the RSI Site are the subject of intellectual property rights ("IPR") reserved by RSI. Except for the permission herein granted, nothing contained herein shall be construed as conferring on the user in any manner any license, title or ownership of or interest in any IPR of RSI. All content on this Site, also known as "Intellectual Property Products" or "IPP", including but not limited to, photographs, audio and graphics, video and all individual articles, and columns are protected by U.S. and International copyrights, trademarks, service marks, international treaties and/or other proprietary rights and laws of the U.S. and other countries. This copyright protection also includes all other elements as well as all collective work under the U.S. copyright and other laws and treaties making up this Site. You agree to not infringe upon these laws and will abide by all of these copyright laws as it relates to your use of the RSI Site, IPP and/or IPR. All present and future rights in and to trade secrets, patents, copyrights, trade names, trademarks, service marks, databases, know-how and other proprietary rights of any type under the laws of the governmental authority, domestic or foreign, including rights in and to all applications and registrations relating to the Site shall, as between you and RSI, at all times be and remain the sole and exclusive property of RSI. Representations and Warranties: You warrant, represent and acknowledge that you 1) are at least eighteen years of age, 2) have the power and authority to enter into this agreement, 3) shall use the Site and/or IPP only as agreed to herein, and 4) shall use the rights herein only for legal purposes.

11. Indemnification: YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS RSI, ITS EMPLOYEES, REPRESENTATIVES, SUPPLIERS AND AGENTS, AT YOUR OWN EXPENSE, AGAINST ANY CLAIM, SUIT, ACTION OR OTHER PROCEEDING, TO THE EXTENT BASED UPON OR ARISING IN CONNECTION WITH YOUR USE OF THE SITE, OR ANY LINKS ON THE SITE, INCLUDING, BUT NOT LIMITED TO: 1) A CLAIM THAT ANY USE OF THE SITE BY YOU OR SOMEONE USING YOUR COMPUTER INFRINGES ANY IPR RIGHT (AS HEREIN DEFINED) OR ANY THIRD PARTY, OR ANY RIGHT OF PERSONALITY OR PUBLICITY, IS LIBELOUS OR DEFAMATORY, OR OTHERWISE RESULTS IN INJURY OR DAMAGE TO ANY THIRD PARTY; 2) A VIOLATION OF THE TERMS BY YOU OR ANY ONE USING YOUR COMPUTER; 3) YOUR USE OR SOMEONE USING YOUR COMPUTER'S USE OF THE SITE; 4)ANY DELETIONS, ADDITIONS, INSERTIONS OR ALTERATIONS TO, OR ANY UNAUTHORIZED USE OF THE SITE BY YOU OR SOMEONE USING YOUR COMPUTER; OR 5) ANY MISREPRESENTATION OR BREACH OF REPRESENTATION, WARRANTY OR COVENANT MADE BY YOU CONTAINED HEREIN. YOU AGREE TO PAY ANY AND ALL COSTS, DAMAGES AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES AND COSTS) AWARDED AGAINST OR INCURRED BY OR IN CONNECTION WITH OR ARISING FROM ANY CLAIM, SUIT, ACTION OR PROCEEDING.

12. Termination: RSI may terminate this agreement with or without cause at any time and such termination shall be effective immediately. This agreement with you will terminate immediately without notice from RSI if RSI determines, in its sole discretion that you have failed to comply with any provision of these Terms. You may terminate with or without notice by discontinuing use of the Site or IPP and destroying all materials obtained from the Site. Upon termination by you or upon notice of termination by RSI, you must promptly destroy all materials obtained from the Site or any copies thereof. Sections 3, 4, 5, 8, 9, 10, 11, and 12 shall survive any termination of this agreement.

13. Governing Law: By accessing this Site and the information contained therein, you agree with RSI that any claim you may have against RSI in contract, tort or otherwise in respect of any information or advice expressly or impliedly given on this Site, or in respect of any inaccuracy herein or omission here from, shall be governed by the laws of the United States and the State of New Mexico, without regard to its conflicts of laws rules.

14. Foreign and Local Access: Access by you or someone in your organization or with whom you are affiliated from outside of the United States of the Site or any part of the information on the Site constitutes your representation and warranty that you are not located in, controlled by or a national or resident of any of the following countries: Cuba, Iraq, Libya, North Korea, Iran, Syria, Sudan, or any other country to which the U.S. has embargoed goods. You agree that you are responsible for compliance with foreign and local laws, including any United States export controls that prohibit downloading, exportation or re-exportation of software from the Site or any information on the Site, into (or to a national or resident of) the countries mentioned in this paragraph or to a) any country to which the United States has embargoed goods or services, or b) anyone on the United States Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders.

15. Miscellaneous: You acknowledge that RSI has the sole discretion to change the technical specifications and content of this Site or any portion of it and the IPP contained on the Site, which may prevent you from your or your organization's use of the Site or IPP.
